Terms of Service

Kenwood Solutions Group, LLC — Effective August 5, 2026

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Kenwood Solutions Group, LLC ("KSG", "we", "us") and govern your use of the kenwoodsolutions.com website and the software products and services we operate, including CivicHub360 (civichub360.ai / civichub.ai), YourEventsHub (youreventshub.ai, including MyHometown.events), GrantsOS, The Production Hub / RFS, SearchMedia.ai, DigiRhino, PollinatorStudio.ai, Newscaster (newscastor.ai), Local Frontline, KSG-published Alexa skills, and related offerings (collectively, the "Services"). By accessing or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.

Certain affiliated products — for example, Frost Shop Marketplace, operated by Ignite Space, Inc. — are provided by separate legal entities. Where an affiliated product links to these Terms, that entity adopts these Terms for its service, and references to "KSG" include that entity for that service. Individual Services may also have supplemental terms (such as vendor agreements, subscription order forms, or event policies); if a supplemental term conflicts with these Terms, the supplemental term controls for that Service.

2. Eligibility & Accounts

You must be at least 18 years old, or the age of legal majority where you live, to create an account. If a Service permits use by minors as part of a school, youth, or community program, a parent, guardian, or sponsoring organization must provide consent and supervise that use. You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use of your account.

3. Acceptable Use

You agree not to: (a) use the Services in violation of any law or regulation; (b) infringe the rights of others, including intellectual property, privacy, and publicity rights; (c) upload or distribute malicious code, or interfere with or disrupt the Services or their infrastructure; (d) attempt to gain unauthorized access to any account, system, or data; (e) scrape, harvest, or bulk-extract data from the Services except through interfaces we intentionally provide; (f) send spam or unsolicited communications through the Services; (g) misrepresent your identity or affiliation; or (h) use the Services to develop a competing product by systematic copying of features or content. We may investigate violations and suspend or terminate accounts that breach this section.

4. Your Content

You retain ownership of the content you submit to the Services ("User Content"). You grant KSG a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your User Content solely as needed to operate, provide, secure, and improve the Services, and as directed by you (for example, publishing an event listing you create). You are responsible for your User Content and represent that you have the rights necessary to submit it. We may remove User Content that violates these Terms or applicable law.

5. Subscriptions, Fees & Payment

Some Services are offered on paid subscription or fee-for-service terms described at the point of purchase or in an order form. Payments are processed by third-party payment processors (such as Stripe); KSG does not store full payment card numbers. Except where required by law or expressly stated otherwise for a specific Service, fees are non-refundable once the billing period has begun. We may change pricing prospectively with reasonable notice; continued use after a price change takes effect constitutes acceptance. You are responsible for applicable taxes.

6. Intellectual Property

The Services — including software, design, text, graphics, logos, and trademarks — are owned by KSG or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services in accordance with these Terms, no license or ownership interest is transferred to you. Feedback you provide about the Services may be used by us without restriction or obligation to you.

7. Third-Party Services

The Services may link to or interoperate with third-party services (for example, payment processors, calendar tools, social platforms, or government data sources). KSG does not control and is not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

8. Text Messaging

SMS programs offered through the Services are governed by our SMS Program Terms & Opt-In Policy, which is incorporated into these Terms.

9. Privacy

Our Privacy Policy describes how we collect, use, and share personal information, and is incorporated into these Terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KSG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT (INCLUDING EVENT LISTINGS, DIRECTORY ENTRIES, GRANT INFORMATION, OR AI-GENERATED OUTPUT) IS ACCURATE, COMPLETE, OR CURRENT. AI-ASSISTED FEATURES MAY PRODUCE INACCURATE OUTPUT; VERIFY IMPORTANT INFORMATION INDEPENDENTLY.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KSG WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. KSG'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KSG FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify and hold harmless KSG and its officers, members, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Services, or your violation of these Terms or applicable law.

13. Suspension & Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services (or any part of them) if you violate these Terms, if required by law, or if we discontinue a Service. Upon termination, sections that by their nature should survive (including Sections 4, 6, and 10–15) will survive. Where practical, we will provide a reasonable opportunity to export your User Content following termination of a paid subscription.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be resolved exclusively in the state or federal courts located in California, and you consent to their jurisdiction. Each party waives any right to a jury trial to the extent permitted by law.

15. Changes to These Terms; General

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date, and continued use of the Services after changes take effect constitutes acceptance. If any provision of these Terms is found unenforceable, the remainder stays in effect. These Terms, together with any supplemental terms, the Privacy Policy, and the SMS Program Terms, are the entire agreement between you and KSG regarding the Services. Our failure to enforce a provision is not a waiver.
